By accessing or using the Saqen website, marketplace, studios, and growth services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

Saqen operates a platform offering ready-to-own ecommerce brands through our Marketplace, custom brand builds through Studios, and post-launch growth support through Growth by Saqen. Specific deliverables, timelines, and pricing for any purchased brand or service are governed by the agreement, listing, or statement of work applicable to that purchase.

3. Use of Our Services

You agree to use our Services only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

• Misrepresent your identity or affiliation with another person or entity.
• Use the Services to transmit unlawful, harassing, or fraudulent content.
• Attempt to gain unauthorized access to any part of the Services or its systems.
• Reproduce, copy, or resell any Saqen-owned content, brand assets, or intellectual property without permission.

4. Marketplace & Brand Purchases

Brands offered through our Marketplace are brand foundations — including identity, product systems, and storefronts — and are not operated businesses with guaranteed revenue or sales. Any revenue or profit figures referenced on listings are estimates or historical data and do not constitute a guarantee of future performance. Purchasers acknowledge that success depends on their own operations, marketing, and execution following handoff.

Each marketplace listing may carry its own terms, disclosures, and acknowledgements. Where a specific listing agreement conflicts with these Terms, the listing agreement controls for that purchase.

5. Payment & Fees

Pricing for brands and services is displayed on the relevant listing or proposal. Payments are processed through our third-party payment providers. Where financing options are offered (for example, Affirm), those options are provided by the financing provider under their own terms, and approval is subject to their credit criteria.

6. No Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be error-free, uninterrupted, or free from harmful components, and we make no warranties regarding the outcome, revenue, or performance of any purchased brand or service.

7. Limitation of Liability

To the fullest extent permitted by law, Saqen and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Services. Our total liability for any claim arising from the Services shall not exceed the amount you paid to us in the preceding twelve (12) months.

8. Third-Party Services

Our Services may link to or integrate with third-party platforms (including Flippa, Shopify, Stripe, Affirm, Cal.com, and others). We are not responsible for the practices or content of those third parties, and your use of them is subject to their own terms and policies.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
